At New Circle B.V., we place great value on clarity and transparency. To ensure smooth cooperation with our clients, we have established our terms and conditions. These outline all agreements regarding quotes, orders, deliveries, payments, and liability. By using our products and services, you agree to these terms.
Please read these terms and conditions carefully and contact us if you have any questions. That way, we ensure a smooth and clear collaboration together.

1. General
Applicability: These terms apply to all our deliveries and all agreements concluded with us
Definitions: In these general terms of delivery, the following definitions apply:
- We/us: New Circle
- Buyer/client: the party inviting us to make an offer
Agreement: The agreement is established between the Buyer/Client and the New Circle company
2. Quotations and Offers
- Non-binding: All quotations, offers, and information in brochures, price lists, and (online) advertisements are non-binding
- Orders without a request for quotation: If an order is placed without a prior request for quotation
- Samples and examples: Samples shown or provided are for indication purposes only
3. Agreements
- Establishment: Agreements are concluded when an order is accepted by us
- Changes and cancellations: Changes and cancellations of concluded agreements are only valid
4. Prices
- Price structure: Unless otherwise agreed, our prices and rates are per indicated unit
- Costs and increases: If the cost price increases after the agreement is concluded but before delivery
5. Delivery
- Delivery terms: Unless otherwise agreed, delivery takes place ex works at our location
- Delivery times: The delivery time agreed between us and the Buyer/Client will be indicated as accurately as possible
6. Payments
- Payment term: Unless otherwise agreed, payment must be made within 14 days of the invoice date
- Due date: A payment is considered made when it has been received by us in cash
7. Inspection and Complaints
Inspection upon delivery: Buyer/Client must immediately upon delivery and before processing carry out the standard industry checks
8. Retention of Title
Ownership: We retain ownership of all goods sold by us until full payment has been made
9. Limitation of Liability
Liability limits: Our liability for attributable failure or unlawful act is limited
10. Indemnification
Buyer’s responsibility: Buyer/Client indemnifies us against any third-party claim for compensation of damages
11. Termination
Grounds for termination: Without prejudice to the provisions of Article 13.4, the Buyer/Client is only entitled to terminate the agreement in whole or in part
12. Force Majeure
Definition and consequences: Force majeure refers to all circumstances beyond a party’s control
13. Liability
Limitations: EBS is only liable for damage suffered by the Client that is the direct and exclusive result of intent or gross negligence
